Welcome to EARRABBIT!

These Terms of Service ("Terms") govern your access to and use of the EARRABBIT website, mobile applications, and related services (collectively, the "Service"), provided by MESA DIS TICARET ("EARRABBIT", "we", "us", or "our").

By accessing or using our Service, you agree to be legally bound by these Terms.

1. The EARRABBIT Service

EARRABBIT is a platform designed for amateur and independent artists ("Artists") to upload, promote, and monetize their music, videos, and other creative works ("Content"). Users of the Service ("Users") can discover, stream, purchase, and engage with this Content and the Artists who create it.

2. Eligibility and Account

You must be at least 18 years of age, or 13 years of age or older with the consent of a parent or legal guardian, to use the Service.

You agree to provide accurate, current, and complete information during the registration process.

You are responsible for safeguarding your password and for all activities that occur under your account.

3. Your Content and Ownership

You Own Your Content

You retain full ownership of all Content you upload to the Service. EARRABBIT does not claim any ownership rights to your Content.

License Grant to EARRABBIT

By uploading Content, you grant EARRABBIT a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify for technical purposes (e.g., transcoding), publicly perform, display, and distribute your Content. This license is solely for the purpose of operating, developing, and promoting the Service.

Your Representations and Warranties

For each piece of Content you upload, you represent and warrant that:

• You are the sole and exclusive owner of the Content or have all necessary rights, licenses, and permissions to grant the license above.
• Your Content does not infringe upon the copyright, trademark, privacy rights, or any other proprietary rights of any third party.
• Your Content complies with all applicable laws and does not contain any material that is defamatory, obscene, or constitutes hate speech.

4. Revenue Models for Artists

Artists can earn revenue on EARRABBIT through two primary methods: (A) a share of advertising revenue based on streams, and (B) direct sales of their digital Content to Users.

4A. Advertising Revenue Sharing (Pro Rata Model)

This model distributes revenue generated from advertisements displayed on the platform.

The Artist Pool

At the end of each calendar month, 60% of the Net Advertising Revenue is allocated to the "Artist Pool."

Definition of Net Advertising Revenue

This is defined as the gross revenue received by EARRABBIT from advertisements, after deducting any direct costs associated with serving those ads (such as ad network fees or taxes). All other operational costs, including but not limited to server and infrastructure costs, are borne by MESA DIS TICARET and are not deducted from the Artist Pool.

Payable Streams

To ensure fairness and prevent fraudulent activity, revenue is distributed based on "Payable Streams."

• A "Stream" is counted when a song or video is played for a minimum of 30 seconds.
• To prevent artificial inflation of stream counts, automated systems are in place. A single user may generate a maximum of 15 payable streams for the same media item within a 24-hour period.
• Furthermore, a single IP address may generate a maximum of 25 payable streams for the same media item within a 24-hour period.
• Only streams that meet these criteria are considered "Payable Streams" and are included in the revenue calculation. This applies to both songs and videos.

Pro Rata Distribution

The Artist Pool is distributed among Artists on a pro rata basis, calculated as follows:

(Total Monthly Payable Streams of an Artist's Content / Total Monthly Payable Streams on the Entire Platform) x Artist Pool Amount

4B. Direct Content Sales (Digital Downloads)

Artists have the option to sell their Content (such as music tracks or albums) as digital downloads on the Service.

Pricing

Artists are responsible for setting the sale price for their Content, in accordance with any pricing tools or minimums provided by the Service.

Seller of Record (Merchant of Record)

All transactions for digital Content are processed by our third-party Merchant of Record (MoR), Paddle.com (Paddle). Paddle is the legal seller of the Content to the User. Paddle handles all payment processing, fraud prevention, and sales tax (VAT/GST) collection and remittance worldwide.

Revenue Share (Direct Sales)

For each sale, EARRABBIT will pay the Artist 95% of the Net Sale Revenue. "Net Sale Revenue" is defined as the amount EARRABBIT receives from Paddle after Paddle has deducted its platform fees, processing fees, and all applicable taxes (VAT/GST).

Refunds

As Content is delivered as non-returnable digital downloads, all sales are considered final. Any requests for refunds are processed and determined at the sole discretion of our Merchant of Record (Paddle) in accordance with their policies.

4C. General Payment Terms

Earnings from both Advertising Revenue (Section 4A) and Direct Sales (Section 4B) will be combined into a single payable balance.

• Payment Threshold: You are eligible for a payout once your accrued earnings reach a minimum of $50.00 USD.
• Payment Schedule: Payouts are processed at the end of each calendar month in which your balance exceeds the $50.00 threshold.
• Payment Providers and Fees: Payments will be disbursed via Payoneer or Wise. You are responsible for maintaining an active and correctly configured account with one of these providers. MESA DIS TICARET is responsible for transferring the full amount of your accrued earnings; however, you are responsible for any transaction fees or commissions charged by Payoneer or Wise for receiving the funds.

5. Community Guidelines and Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

• Violating any applicable laws or regulations.
• Infringing on the rights of others, including intellectual property rights.
• Creating artificial engagement (streams, followers, etc.), sending spam, or otherwise interfering with the proper working of the Service.
• Impersonating any person or entity.

6. Copyright Policy

EARRABBIT respects intellectual property rights. If you believe that your copyright has been infringed, please send a notice compliant with the Digital Millennium Copyright Act (DMCA) to our Copyright Agent at copyright@earrabbit.com.

We maintain a policy of terminating the accounts of repeat infringers in appropriate circumstances.

7. Termination

You may terminate your account at any time. We reserve the right to suspend or terminate your account if you breach these Terms or create risk or possible legal exposure for us.

8. Disclaimers and Limitation of Liability

The Service is provided on an "AS IS" and "AS AVAILABLE" basis.

MESA DIS TICARET will not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the Service.

9. Changes to the Terms

We may modify these Terms from time to time. If we make material changes, we will provide you with notice through the Service or by email. Your continued use of the Service after the changes have become effective will constitute your acceptance of the changes.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Turkey. Any legal suit, action, or proceeding arising out of or related to these Terms shall be instituted exclusively in the courts of Istanbul, Turkey.
